I've bene looking for awhile now and I'm mroe confused then when I started..and I really didn't wanna look like a dumb n00b too, oh well.

My girlfriend has stock steelies on her car right now that I bleieve are 15x6.5 with a 45mm offset? If we put a set of 15x6.5 rims with a 40mm offset would they be clsoer to the strut or to the fender..and will they fit.. Any helps great sicne I'm trying to give her my old beater rims off my Corolla for her car. lol

Does your girlfriend have a Protege? If so the stock steels are 15 x 6", +45 mm, not 6.5".

However, going with your figures, switching a 15 x 6.5", +45 mm wheel to a same dimensioned +40 mm wheel, the change in clearance is as follows:
5 mm more clearance between the inner edge of the wheel and the strut
5 mm less clearance between the outer edge of the wheel and the fender.

I don't see the problem here as the calculation is straightforward. You do understand that as you decrease positive offset, the wheel is moved farther towards the outside of the car.

In terms of whether the new wheels will fit, if the bolt circle is the same and the wheel hub diameter is large enough to fit over the car's hub diameter, the new wheels will fit.
